1. By entering the Edington Media Limited (EML) Giveaway Campaign, you confirm that you accept and agree to these terms and conditions. EML reserves the right to refuse to accept applications or select applicants as Recipients for the credit by anyone in breach of these terms and conditions.

1. Eligibility

   California Cryobank and Donor Egg Bank USA $2,000 Credit Giveaway is open to anyone eligible for fertility assistance in the United States of America, except for EML and California Cryobank and Donor Egg Bank USA employees, their families, agents or anyone professionally connected with the promotion.

1. How to Enter

   The Giveaway will open at 0.001 hours (USA time) on TBC and close at 23.59 hours (PST time) on 1st July 2022 (the Closing Date)

2. To qualify for entry into the Campaign, applicants must enter their first name and email address in the entry box and tick the agreement boxes. 1 entry per person/household only.
3. Entries received after the Closing Date will not be valid.
4. No entries from agents, third parties, organised groups or applications automatically generated by computer will be accepted. No incomplete or corrupted entries will be accepted. Entries will only be accepted if they comply with all entry instructions. EML reserves the right to refuse an entry at any time during the promotion.
5. EML and its agents take no responsibility for incomplete entries or opt-in forms or any applications that are lost, delayed or otherwise not received for any reason, including technical interruption, fault or website failure. Such entries will be deemed invalid. Treatment Recipient selection and the Treatments being offered:
6. A random number generator will select successful Recipients from all valid entries received by the Closing Date. Recipients can only benefit from a maximum of $2,000 credit towards services offered by California Cryobank and Donor Egg Bank USA.
7. Subject to the applicable laws in the Applicant’s country of residence (United States of America), and any restrictions set out in Clause 10 below, Recipients can enter from the United States of America only.
8. The participating providers are California Cryobank and Donor Egg Bank USA.
9. EML will notify the successful Recipient by email provided in the entry box during week commencing 11th July 2022. EML will make 3 attempts by email within a 7 day period to contact the successful Recipient, but should EML not be able to contact a Recipient, the award of the credit will lapse and EML reserves the right to select a substitute Recipient in accordance with the Campaign’s process set out above.
10. EML will publicly announce the name (1st name and surname where the Recipient agrees), and state or city of the successful Recipients during the week commencing 11th July 2022 by publishing the details on the Fertility Help Hub website and on its social media channels.
11. Recipients must keep the fact that they have been successful in their Application confidential until EML has publicly announced this in accordance with Clause 13.
12. Credit can be redeemed at any time after the Recipient is notified but within the time-scale set out in California Cryobank / Donor Egg Bank USA’s terms and conditions, subject to Provider availability and any Coronavirus or other restrictions in place.
13. California Cryobank and Donor Egg Bank USA’s credit is subject to their own terms and conditions, which the relevant Provider will require you to agree to. Details of these are available in the drop-down below. Please ensure that you read the relevant Provider’s terms and conditions carefully. The Provider terms and conditions will also be provided directly to Recipient and any relevant documents will need to be signed by the Successful Recipient. Services will therefore be the subject of a separate agreement between Recipients and the Provider concerned. EML will have no involvement in that process, and will not be part of or responsible for that agreement. EML is not an agent of, recommending or endorsing any of the Providers in any way.
14. So far as is permitted by law, EML, its agents or distributors will not in any circumstances be responsible or liable to compensate a Recipient or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the $2,000 credit except where it is caused by the negligence of EML, its agents or distributors or that of their employees. Your statutory rights are not affected.
15. The successful recipient will receive the $2,000 credit with no fee payable by themselves, up to the amount specified. However, all travel, accommodation, fertility treatment costs and any other incidental expenses will be the responsibility of the Recipient and no contribution will be made to these by EML or California Cryobank or Donor Egg Bank USA, unless and to the extent that these are covered by the Provider’s own terms and conditions. Recipient will also be responsible for ensuring that they meet any visa, permit or other requirements to enable them to take up the services.
16. The $2,000 credit is non-exchangeable, non-transferable and no cash alternative is offered.
17. Recipient will be required to share part of their fertility treatment journey with EML and the California Cryobank or Donor Egg Bank USA (on both the EML and Provider platforms) over a 12-month period, starting from the date they are notified that they are selected. This is required whether or not the treatment is successful. This may involve providing a podcast(s), or articles and similar events, which may be done on a named or anonymised basis. The exact details of how and when this journey-sharing will be done will be a matter for agreement with EML and the California Cryobank or Donor Egg Bank USA and you will be required to sign a Consent Form to confirm your agreement to this.
18. Recipients may also be required to participate in other non-paid publicity or advertising relating to the Campaign, which may include the publication of their name and photograph in any media including Fertility Help Hub’s website and social media channels. Recipients can request that their name be anonymised if they so wish.

1. Data Sharing

   Personal data supplied during the course of this Campaign will be processed as set out in EML’s privacy policy available at www.fertilityhelphub.com/privacy-policy. By entering the Campaign, each Applicant consents to their personal data being used for the purposes of administering the Campaign which includes the publication of their name and state of residence if they are a Recipient.

2. Participants’ personal data limited to their name and email address only will also be shared with California Cryobank / Donor Egg Bank USA for marketing purposes where Applicants consent to this. Applicants will be asked to confirm that they are happy to receive such communications when completing the Entry Box. Applicants may withdraw their consent to such marketing communications at any time by unsubscribing to such communications. Applicants’ personal data will be deleted from California Cryobank / Donor Egg Bank USA’s databases.

1. Other Important Terms

   EML reserves the right to hold void, cancel, suspend or amend the Campaign without notice where it becomes necessary to do so as a result of but not limited to: actions beyond our reasonable control; a legal or regulatory issue; a systems failure; the failure by any third party to perform services, or for reasons related to the current Coronavirus pandemic. If this happens, EML will notify Applicants and potential Applicants by placing a notice on its website as soon as practically possible afterwards.

2. The decision of EML regarding any aspect of the Campaign is final and binding and no correspondence will be entered into.
3. By agreeing to these terms and conditions Applicants consent to the processing and transfer of their personal data to EML and Providers for the purposes of the administration of this Campaign and for the limited purposes set out in Clause 19 above. All entry instructions form part of these terms and conditions.
4. The Campaign and these terms and conditions are subject to English law. Any disputes or issues in connection with these must be referred to the English Courts.

By entering the Edington Media Limited (“EML”) Giveaway for a $2,000 voucher (as more fully described below) (the “Giveaway”), you agree to be bound fully and unconditionally by these California Cryobank LLC (“CCB”) and Donor Egg Bank USA (“DEB USA”) Rules for the Edington Media Limited Giveaway Voucher (“CCB/DEB Rules”) in addition to those Campaign Terms and Conditions provided by FHH (“Campaign T&Cs”).

1. WHO IS ELIGIBLE FOR THE PRIZE.

Only U.S. residents are eligible to enter the Giveaway and to win the Two Thousand Dollar (U.S.$2,000) voucher for CCB or DEB USA services. All United States federal, state, and local laws and regulations apply.

1. PRIZE DETAILS.

The winner of the prize as selected by FHH under the Campaign Rules (the “Winner”) will receive:

• A Two Thousand Dollar (U.S.$2,000) voucher to be used toward CCB’s donor sperm services or DEB USA’s donor egg services (the “Voucher”).
• The Winner has three (3) months to create an account on the CCB website or the DEB USA website (depending upon which service the Winner chooses).
• The Winner has one (1) year from the date the Winner is announced to use the Voucher.

The Retail Value of the Voucher is U.S.$2,000. The Winner cannot redeem the Voucher for a cash payment, apply the cash value of the Voucher to a previous purchase or use in connection with any other discounts or promotions. No alternative prizes will be awarded. Winner must use the entire Voucher to purchase either CCB services or DEB USA services but not a combination of the two. The Voucher cannot be used for fertility treatment expenses or any other services not offered by CCB or DEB USA.

All federal, state and local taxes, fees, and all other costs related to using the awarded Voucher are the sole responsibility of the Winner. The Winner will be asked to sign an Acknowledgement of Eligibility and may be asked to present a valid U.S. driver’s license or valid U.S. I.D. in order to receive the Voucher.

1. REQUIREMENTS OF WINNER.

By accepting a Voucher, the Winner grants CCB and/or DEB USA the right to use Winner’s name, hometown, likeness, entry and fertility story for the purpose of advertising, trade, or promotion without further compensation, unless otherwise prohibited by law. If Winner requests that the Winner’s name and identifying information not be used, Winner agrees to provide their fertility story and grants CCB and/or DEB USA the right to use the fertility story and other information that does not identify the Winner.

In order to receive and use the Voucher, the Winner will be required to execute an acknowledgement of the Winner’s eligibility for the Giveaway, an acknowledgement of Winner’s eligibility to be able to receive and use the Voucher and CCB or DEB USA’s services (whichever the case may be), an acknowledgement of these CCB/DEB Rules and the Campaign Rules, and an agreement to be bound by both. CCB or DEB USA (whichever the case may be) will not ship any donor gametes (whether donor egg or donor sperm) without ensuring that the Winner is eligible to receive such and has executed the necessary documents to be able to receive and use donor gametes. By accepting a Voucher, the Winner agrees to release and hold harmless California Cryobank LLC, CCB-DEB LLC, Generate Life Sciences, Inc., and their respective parent companies, subsidiaries and affiliates and such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from all liability, claims or cause of actions, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of or in connection with Winner’s participation in this Giveaway, and receipt, acceptance or use or misuse of any prize. The Winner’s Statement of Eligibility to be signed by Winner prior to receiving the Voucher shall include an agreement to all of the foregoing requirements and any other requirements as determined by CCB/DEB USA.

1. GENERAL RULES.

Edington Media Limited is the administrator of the Giveaway. Neither CCB nor DEB USA is an administrator of the Giveaway and neither is responsible for any claims, concerns, and/or problems with respect to the Giveaway itself, including but not limited to the selection of the Winner.

1. DISPUTES.

Further, except where prohibited by law, any entrant and the Winner agree that any and all disputes, claims, and causes of action arising from or connected with CCB’s and/or DEB USA’s participation with the Giveaway and the Voucher shall be resolved individually, without resort to any form of class action and any and all claims, judgments and awards shall be limited to Five Hundred Dollars ($500) but in no event shall any entrant or Winner be entitled to recover punitive, exemplary, consequential or incidental damages, including attorneys’ fees or other related costs of bringing a claim or to rescind this agreement or seek injunctive or any other equitable relief in connection with CCB’s and/or DEB USA’s participation with the Giveaway.

I understand that I can request that any publicized information about me be anonymized. Notwithstanding anonymization, I recognize that CCB and/or DEB USA may use/disclose my fertility story.

I agree, on behalf of myself, my heirs, my executors and administrators, to release and hold harmless CCB, DEB USA and each of their parent companies, affiliates and subsidiaries, principals, officers, directors, employees and agents (collectively, the “Released Parties”) from all liability, disputes, claims and causes of action arising out of or in connection with the CCB/DEB Rules, my participation in this Giveaway, and my receipt, acceptance, use or misuse of the Voucher (the “Claims”). In no event shall I be entitled to recover punitive, exemplary, consequential or incidental damages including but not limited to attorneys’ fees or other related costs.
